The club rules reproduced below are its formal constitution, which can only be changed with the agreement of a majority of its members at a General Meeting.
RULES OF THE BINFIELD TENNIS ASSOCIATION
(Revised September 2020)
1. TITLE
The organisation will be known as the BINFIELD TENNIS ASSOCIATION (‘the Association’).
2. PURPOSE
The main purposes of the Association are to provide facilities for and to promote the playing of tennis in Binfield and to encourage participation by people in the community of all ages and abilities.
3. COMMITTEE
The affairs of the Association shall be under the control of the Committee which shall be elected at the Annual General Meeting and consist of the following elected members:
Chairman
Secretary
Treasurer
And other posts as agreed by the Committee
The Committee shall consist of at least 4 adult members of the Association.
The Committee may co-opt additional members as they consider necessary.
No meeting of the Committee shall take place unless at least four of the non-co-opted members of the Committee are present.
A representative of the Binfield Parish Council has the right of attendance.
4. MEMBERSHIP
Membership of the Association shall be open to anyone interested in tennis on application, regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non-discriminatory basis.
The Association may have different classes of membership and subscription on a non-discriminatory and fair basis. The Association will keep subscriptions at levels that will not pose a significant obstacle to people participating.
The Committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the Association or sport into disrepute. Appeal against refusal or removal may be made to the members.
Membership of the Association shall be open to residents and those working in the Civil Parish of Binfield and the surrounding areas.
Membership of the Association shall comprise the following categories:
- Adult (over 18 years and not in full time education)
- Junior (11-17 years)
- Child (4 – 10)
- Family (2 adults and up to 4 children under 18 years)
- Student (18 years or over in full time education)
5. NON-DISTRIBUTION TO MEMBERS
All surplus income or profits are to be re-invested in the club. No surpluses or assets will be distributed to members or third parties.
6. LTA AFFILIATION
The Association shall maintain its registration with the Lawn Tennis Association (LTA), the governing body for tennis in England.
In accordance with the LTA’s registration requirements, members of the Association are subject to the LTA’s rules and disciplinary code.
7. ANNUAL GENERAL MEETING
The Association’s financial year shall end on the last day of February and the Annual General Meeting of the Association shall be held as soon as practicable thereafter.
Notice of holding the Annual General Meeting shall be sent in writing to every member at least fourteen days before the date appointed for the meeting.
Every member whose subscription has been paid on or before the 31st of March in any year shall be entitled to vote at the subsequent AGM.
8. EXTRAORDINARY GENERAL MEETING
An Extraordinary General Meeting of the Association may be called either at the instigation of the Committee or upon receipt of a request signed by at least 10 members. Notice shall be given in accordance with Rule 7.
9. ALTERATION OF THE RULES
Alteration to the Rules of the Association shall only be made at a General Meeting. A majority of at least two-thirds of the members present at such a meeting shall be necessary for adoption of the alterations.
Any proposed alterations to the rules shall be notified to the Secretary at least 28 days before the relevant General Meeting.
10. LIABILITY/INSURANCE
Neither the Association nor any officer thereof shall be liable for loss or damage to any property arising from whatever cause in or about the Association premises; nor any injury sustained by any person whilst in or entering or leaving the Association premises.

11. GUESTS
Any member introducing a guest shall be responsible for that guest’s strict observance of the Rules and Members Guide of the Association and shall not leave the Association’s premises before the guest.
No member shall be accompanied on the Association’s premises by more than three guests at any one time, except by arrangement with a Committee member.
No person whose membership of the Association has been terminated or temporarily suspended by the Committee shall be introduced as a guest.
12. SUPERVISION
Any member of the Committee present at the Association’s premises shall ensure that the Rules and Bye-laws of the Association are adhered to. Any offender shall be reported to the Committee who will take whatever action they consider necessary, subject to the provisions of the LTA Disciplinary Code.
13. DISSOLUTION
A resolution to dissolve the club shall be proposed at an Extraordinary General Meeting and shall be passed only if carried by a majority of at least two-thirds of the members present and voting.
The dissolution shall take effect from the date of the resolution and the members of the Committee shall be responsible for the winding-up of the assets and liabilities of the Association.
14. APPLICATION OF ASSETS ON DISSOLUTION
Upon dissolution of the Association any remaining assets shall be given or transferred to another CASC, a registered charity or the sport’s governing body (LTA) for use by them in community related sports.
In the event of the Association ceasing to act as an Association because there are no officers, all cash balances in hand at that time will become the responsibility of the Binfield Parish Council.
15. MATTERS NOT COVERED BY THE RULES
The Committee has the power to deal with any questions not covered by these Rules. Any member wishing to object to a ruling of the Committee shall forward their protest in writing, together with at least ten signatures from other members of the Association to the Secretary, who will then call an Extraordinary General Meeting.
16. MEMBERS GUIDE
The Committee shall have the power to draft and amend the Members Guide of the Association as they consider necessary, provided that at least four non-co-opted Committee members are present at the relevant meeting, and that, of those present, at least four are in favour of those changes.
