Abridged Constitution

This is an abridged and shortened version of the Constitution which replaces and expands upon the old Rules & Regulations and ByLaws the club used before. This abridged version may not be strictly accurate so please download and consult the actual Constitution if in doubt about any of the points herein. 

 

Coylton LTC SCIO abridged constitution

 

General Notes:

The rules of the Lawn Tennis Association shall be observed for all games and tournaments.

 

 

The Club cannot accept any responsibility for any loss or injury to members or visitors.

 

 

 

1

Name:

The Club (Organisation) shall be known as Coylton LTC SCIO.

Purposes:

The Club's objectives shall be:
to benefit the people of Coylton and surrounding areas, of all ages, with an interest in tennis,

the provision of opportunities for competitive and recreational tennis for all ages and abilities,

the provision of recreational facilities, and the organisation of recreational activities with the object of providing sporting, leisure and social opportunities for the community.

Membership:

Membership of the Club will be open to all, irrespective of race, colour or nationality.

Membership shall run from 1st April to 31st March each year and comprise:

(a) Individuals aged 18 or over who are members of the Community (“Ordinary Members”); and

(b) Individuals aged over 5 and up to 18 who are members of the Community (“Junior Members”).

Membership Subscriptions:

The Trustees will fix the annual subscriptions and playing fees (if any). These will be ratified at the AGM.

There is a sliding scale of fees for membership and members shall be required to pay an annual membership subscription, except for Honorary Members.

Annual General Meeting:

Not more than 15 months shall elapse between one AGM and the next.

The business of each AGM shall include:

(a) a report by the Chairperson on the activities of the Organisation;

(b) the election of Elected Charity Trustees;

(c) the fixing of annual subscriptions;

(d) consideration of the accounts of the Organisation;

(e) a report of the auditor if applicable; and

(f) the appointment of the auditor if applicable.

The Financial year shall be 1st April to 31st March.

General Meeting:

The notice must specify the place, date and time of the GM, the general nature of business to be dealt with at the meeting; and

(a) in the case of a resolution to alter the constitution, must set out the exact terms of the proposed alteration(s); and

(b) in the case of any special resolution (as defined in clause 30) must set out the exact terms of the resolution: and

(c) be agreed by a majority of the Board at meeting.

Voting:

All members of 18 and over have full voting rights. Junior members under the age of 15 are not entitled to vote or serve as Charity Trustees.

Organisation Management:

The affairs, property and funds of the organisation shall be directed and managed by a Board of Charity Trustees:

Chairperson, Vice Chairperson, Secretary, plus not more than nine other elected members.
Trustees and Board Members shall be elected at a General Meeting and shall be eligible for re-election.

Secretary:

The Secretary shall maintain records and minutes of meetings and handle correspondence for the Organisation.

Board Meetings:

The quorum for Board meetings shall be not less than 50% of all the Trustees, a majority of whom are Elected Charity Trustees. No business shall be dealt with at a Board meeting unless such a quorum is present.

Subcommittees:

The Board can appoint subcommittees for any purpose connected with the Club.

Accounts:

The Treasurer shall cause accounting records to be kept for the Organisation in accordance with the requirements of the 2005 Act and other relevant legislation and shall prepare a report for each AGM as well as on request.

An independent examiner shall be elected each year at the AGM.

Alteration to the Constitution:

Subject to the terms of clause 69, the constitution may be altered by a Special Resolution of the members passed in accordance with clause 30 or 31.3 of the Constitution.

Dissolution:

In event of the Club being wound up, any property or assets remains after satisfaction of all its debts and liabilities, such property shall be given or transferred to such other community body or bodies or charitable group, which has purposes which resemble closely the purposes of the Organisation.

Standards of Conduct:

Charity Trustees and Members shall also be bound by the LTA Disciplinary Code and the LTA Code of Conduct as published and as updated by the LTA (see Addendum 1 and 2 of the Constitution) except where such observance would cause a conflict, in which case the Organisation’s Code of Conduct takes precedence.

Each member agrees as a condition of membership:

 

 

1.1 to conduct themself, and ensure that any person supporting, working with, treating or assisting them (including any Player  Support Person) conducts themself, in a professional and appropriate manner and in accordance with the highest standards of disciplined and sporting behaviour and integrity, consistent with the LTA’s vision and mission, and in the best interests of the Game;

 

 

1.2 help to create a safe, inclusive, accessible, welcoming and enjoyable environment, both on and off the court;

1.3 treat all other Participants (including officials) fairly and with respect;

1.4 encourage other Participants to have respect for one another and to conduct themselves with integrity;

1.5 not verbally, physically or emotionally abuse any other Participant in any way;

 

Additional Standards:

 

2.1 act with honesty, integrity and in a sporting manner (including with regard to any oncourt matters, such as line calls);

2.2 accept and respect (i) the authority of officials, (ii) the role of officials in ensuring that competitions are conducted fairly and according to the relevant rules and regulations, and (iii) decisions made by officials;

2.3 not violently, dangerously, in anger, or with the intention to cause harm or damage to a person, the object itself or  another object or property, hit, kick, throw or use as a weapon, a tennis ball, racket, or other equipment;
